Legal information for the investor

On 01.01.2023, DOMOPLAN a.s. issued bonds with a minimum subscription limit of EUR 100 000. These are Bond DOMOPLAN I.23 - 2023-2025, 8.5 %.

The issues are made under the regime of Article 1(4)(d) of Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market and repealing Directive 2003/71/EC, as amended ("EU Regulation No. 2017/1129"), whereby the underwriter is entitled to subscribe for bonds with a minimum aggregate nominal value equal to or greater than the CZK equivalent of EUR 100,000 on the date of subscription. The Issuer is thus entitled to allow one subscriber to invest in the Bond only in an amount above the above limit set out in Article 1(4)(d) of EU Regulation 2017/1129. 1(4)(d) of EU Regulation 2017/1129 as it is an exemption for an offer of securities to investors acquiring securities with a total consideration of at least EUR 100,000 per investor, for each individual offer. Supervision of the bond issue and the Issuer (hereinafter referred to as "supervision") is exercised by the CNB to the extent permitted under the Act on Capital Market Undertakings over entities that are not obliged to publish a bond prospectus in compliance with the conditions for a private placement The CNB does not assess the terms and conditions of the bond issue, does not assess the Issuer's economic results or financial position and does not guarantee the Issuer's future profitability or its ability to repay the proceeds and nominal value of the bond.

In the event of a dispute between DOMOPLAN a.s. as the issuer of the bonds ("Bonds") and an investor who is a consumer within the meaning of Act No. 634/1992 Coll, on consumer protection, as amended (the "Consumer"), a dispute arises from the conclusion or performance of the contract on subscription of the Bonds or the exercise of rights and obligations under the Bonds, the Consumer shall have the right to apply to the authority for out-of-court settlement of consumer disputes, which is the Czech Trade Inspection (www.coi.cz, Štěpánská 567/15, 120 00 Prague 2). However, depending on the nature of the dispute, another authority may also be competent. At the Consumer's request, DOMOPLAN a.s. will inform him/her about the authority competent for out-of-court settlement of a specific dispute.
